Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of the Hackathons Plus Diagnostic platform (“the Service”), operated by Vitalis Group SA, a company registered under Swiss law with its registered office at c/o Barney Associés SA, Chem. de Roseneck 5, 1006 Lausanne, Switzerland.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

The Service is intended for use by business professionals and organisations. Where you use the Service as a consumer, mandatory rights under applicable law may apply and will prevail where required. Your use of the Service is also governed by our Privacy Policy and Cookie Policy.

2. Description of the Service

Hackathons Plus Diagnostic is an AI-powered business diagnostic tool that helps SME leaders refine business challenges into structured problem statements, receive multi-dimensional diagnostic analyses, and access prioritised intervention plans.

The Service includes a free tier (challenge refinement and diagnostic analysis) and paid features (intervention plans), available via one-time purchases or monthly subscriptions.

3. Account Registration

To access certain features, you must create an account by providing your name, email address, and GDPR consent. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate and complete information. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Pricing and Payment

Launch pricing (limited-time offer) — The following prices are offered as part of a limited-time launch promotion and may be modified or withdrawn at any time.

All prices are in Swiss Francs (CHF) and include applicable taxes. Payments are processed securely by Stripe, Inc. We do not store your payment card details.

We reserve the right to modify pricing. Any changes will apply to future billing periods and will be communicated in advance.

5. Refund Policy

As the Service delivers digital content that is generated and made available immediately upon purchase, all sales are final and non-refundable. Where applicable under consumer protection law, you expressly request immediate access to digital content and acknowledge that this may result in the loss of your statutory right of withdrawal once the content has been made available.

For monthly subscriptions, you may cancel at any time through the Account page or Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for the remaining period.

6. AI-Generated Content

The diagnostic analyses, intervention plans, and other outputs generated by the Service are produced by artificial intelligence models based on the information you submit. The Service provides structured, AI-assisted diagnostics and recommendations designed to support effective business decision-making. While we strive for quality and relevance, outputs may not capture all aspects of your specific business context or evolving market conditions and should be assessed accordingly.

The Service is provided for informational purposes only and does not constitute professional business consulting, legal, financial, or strategic advice. The Service supports, but does not replace, professional judgement. Outcomes depend on how recommendations are interpreted and implemented within your specific context.

You remain solely responsible for evaluating the outputs and for any decisions or actions taken based on them. We recommend consulting qualified professionals for important business decisions.

7. Intellectual Property

The Service, including its design, software, branding, and underlying AI models, is the intellectual property of Vitalis Group SA or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

You retain ownership of the business challenges and information you submit. You are granted a non-exclusive, non-transferable licence to use the AI-generated outputs for your internal business purposes. You may not resell, sublicense, or commercially exploit these outputs without prior written consent. You may share diagnostic results via the built-in sharing feature.

If you provide feedback, suggestions, or ideas regarding the Service, you grant us the right to use such feedback without restriction or compensation.

You may delete your account at any time via the Account page. Deletion permanently removes your profile, challenges, diagnostics, and intervention plans. Active subscriptions are cancelled upon account deletion.

We reserve the right to suspend or terminate your account if you violate these Terms or if required for security or legal reasons. Where reasonably possible, we will provide notice.

10. Force Majeure

We are not liable for any failure or delay resulting from causes beyond our reasonable control, including but not limited to internet outages, third-party service failures, or acts of government.

11. Limitation of Liability

To the maximum extent permitted by Swiss law, Vitalis Group SA shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Service, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability for any claims arising from the Service shall not exceed the amount you have paid to us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete.

We do not guarantee that the Service will be continuously available or free from interruptions, delays, or errors. We may modify, suspend, or discontinue parts of the Service at any time.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.

These Terms are drafted in English. In case of inconsistency with any translated version, the English version prevails.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or a notice on the Service at least 14 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
